1. Agreement to Terms

These Terms & Conditions ("Terms") govern your use of the websites and services of Digiposs, LLC ("Digiposs," "we," "us"), a Washington limited liability company located at 315 169th St SW, Bothell, WA 98012 USA. By using our websites or engaging our services, you agree to these Terms and our Privacy Policy.

2. Services

Digiposs provides technology consulting and advisory services, infrastructure and hosting services, and custom software and systems work. The specific scope, deliverables, and fees for client engagements are defined in the applicable proposal, statement of work, or invoice, which together with these Terms forms the agreement for that engagement.

3. Fees & Payment

  • Fees are as stated in the applicable proposal, statement of work, or invoice, and are payable in U.S. dollars.
  • Card payments are processed by PCI DSS–compliant third-party payment processors; Digiposs does not store full card numbers.
  • Unless otherwise agreed in writing, invoices are due upon receipt. Overdue balances may result in suspension of services.
  • Fees for completed work are non-refundable. Prepaid, unrendered services will be refunded on a pro-rata basis if an engagement is cancelled. Billing questions or disputes: contact us within 60 days of the charge and we will work with you to resolve them promptly.
  • You are responsible for applicable taxes other than taxes on our income.

4. Text Messaging (SMS) Terms

Digiposs may offer text message communications related to your inquiries, accounts, and services (such as notifications, alerts, and replies). By opting in, you agree to the following program terms:

  • Consent to receive text messages is not a condition of any purchase.
  • Message frequency varies. Message and data rates may apply; contact your carrier for details.
  • Reply STOP at any time to cancel and opt out. Reply HELP for help, or contact us at +1 (888) 833-7046 or +1 (206) 699-1334.
  • Carriers are not liable for delayed or undelivered messages.
  • Mobile opt-in information is never shared with or sold to third parties for marketing purposes — see our Privacy Policy.

5. Acceptable Use

You agree not to use our websites or services to violate any law, infringe the rights of others, transmit malware or unsolicited bulk messages, or attempt to gain unauthorized access to any systems. We may suspend or terminate service for violations.

6. Intellectual Property

Unless otherwise agreed in writing, materials on our websites are the property of Digiposs. Ownership of work product created under a client engagement is defined in the applicable engagement agreement.

7. Disclaimers

Except as expressly stated in an engagement agreement, our websites and services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Digiposs will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our total liability arising out of or relating to the services will not exceed the amounts paid to us for the services giving rise to the claim in the twelve months preceding the claim.

9. Termination

Either party may terminate an engagement as provided in the applicable engagement agreement. We may suspend or discontinue website features at any time. Sections that by their nature should survive termination (including payment obligations, IP, disclaimers, and limitations of liability) survive.

10. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules. Venue for any dispute is the state or federal courts located in Washington State.

11. Changes

We may update these Terms from time to time. The effective date above reflects the latest revision; continued use of our websites or services after changes take effect constitutes acceptance.
